1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and CFOTASKS.COM, INC., a Pennsylvania corporation (“CFOTASKS.COM,” “we,” “us,” or “our”). By accessing our website at cfotasks.com, using our platform at go.cfotasks.com, scheduling a consultation, or engaging our services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access our website or use our services.

2. Description of Services

CFOTASKS.COM provides technology-enabled CFO intelligence and financial reconciliation services to private medical, dental, and veterinary practices. Our services include, but are not limited to:

• Financial reconciliation across practice management systems, merchant processors, bank accounts, and accounting platforms.
• Key Performance Indicator (KPI) tracking, benchmarking, and reporting.
• CFO-level financial reporting and decision-support dashboards.
• Growth modeling and forecasting.
• Tax planning awareness and compliance-related insights within IRS-defined advisory boundaries.
• Advisory support delivered through our platform and scheduled consultations.

3. Important Disclaimers About Our Services

Not a Replacement for Licensed Professionals

CFOTASKS.COM provides financial intelligence and decision-support services. We do not replace Certified Public Accountants (CPAs), tax preparers, attorneys, or licensed financial advisors. Our services are designed to complement — not substitute — the work of your existing professional advisors.

Not Tax, Legal, or Investment Advice

Nothing provided by CFOTASKS.COM — whether through our platform, reports, consultations, or communications — constitutes tax advice, legal advice, investment advice, or any form of licensed professional counsel. All tax planning insights are presented within IRS-defined advisory boundaries for informational and educational purposes only.

You should consult with qualified, licensed professionals before making tax, legal, or financial decisions based on information provided through our services.

No Management Control

CFOTASKS.COM does not assume management control of your practice. All operational and financial decisions remain the sole responsibility of the practice owner. Our role is to ensure the right financial questions are asked and answered at the right time to support your decision-making.

4. Eligibility

Our services are intended for business professionals, practice owners, and authorized representatives of medical, dental, and veterinary practices. By using our services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your practice.

5. Account and Access

To use certain features of our platform, you may be required to provide contact and business information. You agree to:

• Maintain the security of any login credentials or account access.

• Notify us promptly of any unauthorized access or security breach.

• Accept responsibility for all activity under your account.

6. Client Responsibilities

As a client of CFOTASKS.COM, you agree to:

• Provide accurate and timely financial data, documents, and system access necessary for us to deliver our services.
• Authorize and maintain connections to relevant third-party platforms (e.g., QuickBooks Online, practice management systems, merchant processors) as needed.
• Review reports, dashboards, and deliverables provided by CFOTASKS.COM and raise questions or concerns in a timely manner.
• Consult with your own CPA, tax preparer, attorney, or licensed financial advisor before acting on insights provided by CFOTASKS.COM.
• Comply with all applicable laws and regulations related to your practice operations.

7. Fees and Payment

Unless otherwise specified in your agreement:

• Fees are due upon receipt of invoice.
• Late payments may be subject to a late fee as outlined in your service agreement.
• CFOTASKS.COM reserves the right to suspend services for accounts with overdue balances exceeding 30 days.

Service fees are established through individual service agreements, proposals, or subscription plans between CFOTASKS.COM and the Client. Payment terms, billing frequency, and accepted methods of payment will be outlined in your service agreement.

8. Intellectual Property

All content, materials, reports, dashboards, KPI frameworks, templates, methodologies, and software provided by CFOTASKS.COM are the intellectual property of CFOTASKS.COM, INC. and are protected by applicable copyright and intellectual property laws.

9. Confidentiality

CFOTASKS.COM treats all client financial data and business information as confidential. We will not disclose your

confidential information to third parties except:

• As necessary to perform our services (e.g., authorized integrations with your financial systems).
• As required by law, regulation, or legal process.
• With your prior written consent.

Our confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.

10. Limitation of Liability

To the maximum extent permitted by law:

• CFOTASKS.COM’s total liability for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by the Client to CFOTASKS.COM during the twelve (12) months preceding the claim.
• CFOTASKS.COM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities, regardless of the theory of liability.
• CFOTASKS.COM is not liable for decisions made by the Client based on information, reports, or insights provided through our services. All business decisions remain the sole responsibility of the Client.

11. Indemnification

You agree to indemnify, defend, and hold harmless CFOTASKS.COM, INC., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of:

• Your use of our services.
• Your breach of these Terms.
• Your violation of any applicable law or regulation.
• Any third-party claim related to decisions you made based on CFOTASKS.COM deliverables or insights.

12. Termination

Either party may terminate the service relationship in accordance with the terms of the applicable service agreement.

In the absence of a specific agreement:

• Either party may terminate with 30 days written notice.
• CFOTASKS.COM may terminate immediately if the Client breaches these Terms or engages in conduct that is harmful, fraudulent, or illegal.

Upon termination:

• Access to the CFOTASKS.COM platform and services will be discontinued.
• Outstanding fees remain due and payable.
• Client data will be made available for export for a period of 30 days following termination, after which it may be deleted.

• Governing Law: These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles.Jurisdiction:
• Jurisdiction: Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in the Commonwealth of Pennsylvania, and both parties consent to the jurisdiction of such courts.

By providing your phone number and engaging our services, you consent to receive:

• Appointment confirmations, reminders, and follow-up communications via email, SMS, and phone.
• Service-related notifications and updates. Phone calls with CFOTASKS.COM may be recorded for quality assurance and training purposes. You will be notified at the start of any recorded call.

You may opt out of SMS communications at any time by replying STOP to any text message.

CFOTASKS.COM reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date. Material changes will be communicated to active clients via email. Your continued use of our services after modifications constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and CFOTASKS.COM with respect to the use of our website and services, and supersede all prior agreements, understandings, and communications.
